DIRECTOR APPOINTMENT & REMOVAL - AN OVERVIEW

The management of a company is vested in its Board of Directors. As a company grows or changes its strategic direction, it may need to appoint new directors or remove existing ones. These changes are governed by the Companies Act, 2013 and require strict adherence to procedural requirements.

Whether it's an appointment due to expansion or a resignation/removal due to retirement or other reasons, every change in the composition of the Board must be intimated to the Registrar of Companies (ROC) through the filing of Form DIR-12.

At Taxcom Technologies, we provide end-to-end support for managing director changes. From verifying DIN eligibility to drafting resolutions and ensuring timely filings, we make the transition smooth and compliant.

Director Appointment

Involves obtaining DIN (if not already held), getting consent in DIR-2, and filing DIR-12 within 30 days of the board meeting.

Director Removal/Resignation

Involves accepting the resignation letter, passing a board resolution, and filing DIR-12 (and optionally DIR-11 by the director).

While the DIR-12 filing is a central process, the appointment of a director might trigger updates in state-level registrations like Professional Tax or Shops & Establishments if the director is also an authorized signatory or executive.

Consequences of Delay

Late Filing Penalties

Failure to file Form DIR-12 within 30 days attracts additional fees ranging from 2x to 12x of the normal filing fee, depending on the period of delay.

Legal Non-Compliance

Non-filing or incorrect filing can lead to prosecution of the company and its officers, and may affect the validity of board decisions taken by the new director.
